1. Acceptance of Terms

Welcome to AllInOne Wholesales (“we,” “our,” “us”). By accessing our website, purchasing our products, or registering for a retail or wholesale account, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Retail & Wholesale Accounts

We sell both retail directly to consumers and wholesale to approved businesses, clinics, gyms, spas, and catering businesses.

• Account Security: You are responsible for safeguarding your account credentials. All activities under your account are your responsibility.
• Wholesale Eligibility: To qualify for B2B wholesale pricing, you must register a corporate account with a valid Federal EIN (Employer Identification Number) and corporate details. Resellers requesting sales tax exemption must supply a valid state Resale Certificate.
• Account Abuse: We reserve the right to suspend or terminate accounts that provide false information, violate purchase quantities, or default on payment obligations.

3. Pricing, Case Tiers & Case Rates

We strive to offer transparent, honest pricing across our catalog:

• Retail Pricing: Displayed standard retail unit rates are applicable to individuals purchasing fewer than six (6) units of a single SKU.
• Automatic Case Pricing: Retail and guest buyers automatically receive our 15% Case Discount when purchasing six (6) or more units of a single SKU.
• Wholesale Member Pricing: Approved wholesale partners receive a baseline 15% discount on all SKUs regardless of volume, plus an additional 10% volume discount at twelve (12) or more units of any single SKU (capped at 40% maximum discount).

4. Net-30 Credit Terms & PO Billing

For qualified wholesale accounts, we offer Net-30 invoice routing:

• Approval: Approval is subject to a soft business credit check which does not impact personal credit. We reserve the right to limit credit limits or request credit card payment at our discretion.
• Payment Window: Payments are due in full thirty (30) calendar days from the date of shipment.
• Overdue Invoices: Invoices remaining unpaid past forty-five (45) days will result in an immediate temporary freeze on pending shipments. Overdue balances are subject to a late fee of 1.5% per month (or the maximum allowed by law, whichever is lower).
• Purchase Orders: If your accounting department requires PO numbers, they must be supplied during checkout. We are not responsible for delays in invoicing due to missing corporate PO numbers.

5. Shipping, Title & Risk of Loss

All shipments depart from our climate-controlled warehouse located at **238 Lindbergh Pl. Paterson, NJ 07503**.

Title and risk of loss pass to the buyer upon delivery of the goods to the common carrier (FOB Shipping Point). Standard shipping is free on US orders over $49. Wholesale partners receive free Express Shipping on orders over $150.

6. Resale Restrictions

Wholesale accounts purchasing products for resale agree to comply with all federal, state, and local packaging and labeling guidelines. Products must be resold in their original, un-tampered packaging. Repackaging supplements, oils, or foods is strictly prohibited under FDA and New Jersey state health guidelines.

7. Governing Law & Dispute Resolution

These Terms and your relationship with us shall be governed by, and construed in accordance with, the laws of the **State of New Jersey**, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Passaic County, New Jersey.
