1. Acceptance of Terms

Welcome to AllInOne Wholesales (“we,” “our,” “us”). By accessing our website, purchasing our products, or registering for a retail or wholesale account, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Retail & Wholesale Accounts

We sell both retail directly to consumers and wholesale to approved businesses, clinics, gyms, spas, and catering businesses.

• Account Security: You are responsible for safeguarding your account credentials. All activities under your account are your responsibility.
• Wholesale Eligibility: To qualify for B2B wholesale pricing, you must register a corporate account with a valid Federal EIN (Employer Identification Number) and corporate details. Resellers requesting sales tax exemption must supply a valid state Resale Certificate.
• Account Abuse: We reserve the right to suspend or terminate accounts that provide false information, violate purchase quantities, or default on payment obligations.

3. Pricing & Discounts

We strive to offer transparent, honest pricing across our catalog:

• Catalog Pricing: All customers, retail and wholesale, check out at the displayed catalog unit price. There is no automatic quantity or case discount.
• Promotional Codes: Retail and guest buyers may reduce an order total with a valid promotional code at checkout. Codes are single-use unless stated otherwise and cannot be combined. Promotional codes are not available on wholesale accounts.
• Wholesale Account Pricing: Approved wholesale partners are assigned a single negotiated discount rate, agreed between the partner and their account manager. It is applied automatically to the order subtotal at checkout on every order. The rate may be revised for future orders at any time; it does not apply retroactively to completed orders. Where a rate was not yet set when an order was placed, we may apply it afterward as a partial refund to the original payment method.

4. Shipping, Title & Risk of Loss

All shipments depart from our climate-controlled warehouse located at 238 Lindbergh Pl. Paterson, NJ 07503.

Title and risk of loss pass to the buyer upon delivery of the goods to the common carrier (FOB Shipping Point). Standard shipping is free on US orders over $149. Wholesale partners receive free Express Shipping on orders over $149.

5. Resale Restrictions

Wholesale accounts purchasing products for resale agree to comply with all federal, state, and local packaging and labeling guidelines. Products must be resold in their original, un-tampered packaging. Repackaging supplements, oils, or foods is strictly prohibited under FDA and New Jersey state health guidelines.

6. Governing Law & Dispute Resolution

These Terms and your relationship with us shall be governed by, and construed in accordance with, the laws of the **State of New Jersey**, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Passaic County, New Jersey.
